RECITALS

TaxiAdmin is a worldwide software developer represented by the private entrepreneur and acting on the basis of Ukrainian State Registration Certificate №25220000000057798 given in December 12, 2011.

Our company provides taxi dispatch system for rent and retail purchase along with server maintenance, installation, configuration and support of the Program Complex (further named – “PC”) “TAXIADMIN”, registered in Ukraine on October 24, 2013 under the license №51874.

DEFINITIONS

"TaxiAdmin" is a program complex for the automation of taxi dispatching services and taxi companies, that is fully functioning by means of Internet connection at the speed of not less than 2 (two) megabits per second for one dispatcher workplace.

Program Complex "TaxiAdmin" consists of the computer software for administrators and dispatchers - "Taxi Operator" (requires Windows 7 and IE9+), the unified mobile application for the driver "TA Driver" (Android and Apple iOS), the backend "TaxiServer" and the customized booking apps for Android and Apple iOS (that are charged separately).

Connection fee – fixed one-time payment, collected by the service provider once a month and formed according to the connection plans ("Cloud" / "Server" / "Purchase") based on the factual amount of units of the client company. Upon receipt of the connection fee transfer confirmation from the bank of the service provider - the service provider starts granting access to the program complex (excluding the backend) together with adjustment of software at the dispatching workplaces and providing the client with the unified application for drivers.

Monthly fee – flexible sum, collected by the service provider once a month and formed according to the connection plans ("Cloud" and "Server") based on the factual amount of units of the client company. This is a dynamic sum that increases according to the needs of the client to increase the amount of online drivers / dispatchers / telephony lines and customized booking apps. The client has to inform the service provider that he wants to arrange such an increase; in this case the user support fee will be recalculated by the next payment month.

COMPANY RIGHTS AND OBLIGATIONS

  • In case the client does not fulfill his obligations, provided by the signed agreement between the two parties, the service provide has a right to suspend the delivery of technical support, withhold further provision of services and also terminate that agreement.
  • After getting the confirmation from the bank of the service provider (that the connection fee has been transferred by the client), the service provider is obliged to provide access to "TaxiAdmin" program complex and accomplish the configuration of a server, together with the registration and installation of the required number of Taxi Operator panels and driver apps registrations.
  • The service provider is obliged to provide one contact person of the client (company representative) with the information and assisted remote trainings, necessary for connection and convenient usage of PC "TaxiAdmin". The contact person is responsible for further distribution of the information and obtained knowledge to the client company staff. The service provider does not arrange trainings to individual dispatchers and drivers of the client company.
  • The service provider is obliged to carry out technical support to clients that subscribed to "Cloud" and "Server" tariff plans, based upon the monthly fee paid by the client according to his tariff and individual calculation. The service provider is obliged to provide free technical support for "Purchase" subscribers for 3 months since the launch date and starting from the 4th the support is provided optionally: either on a paid basis (1 USD / every driver license) or is not provided at all.
  • The service provider is obliged to provide the clients with stable and continuous program complex operation (depending on the technical capability).
  • CLIENT RIGHTS AND OBLIGATIONS

  • The client is obliged to follow the recommendations of the service provider as for selecting and buying of the required for operation equipment and third-party services
  • The client is obliged to grant remote access, to let the service provider configure and maintain the equipment of the client.
  • The client is obliged to pay to the service provider for connection to the program complex "TaxiAdmin" (connection fee) and for technical support (starting from the first month for "Cloud" and "Server" subscribers).
  • The client has a right to request for a reasonable technical support and assistance when needed and the service provider is expected to provide responses within the working hours of the service provider: from 9:00 AM till 6:00 PM from Monday till Friday (GMT+2). For "Cloud" subscribers that is arranged by e-mail (up to 24 hours for response), for "Server" subscribers by phone / email and other means of communication (up to 8 hours) and for "Purchase" customers - individually, according to the terms of the signed agreement.
  • The client has a right to apply for new features to be developed by the service provider. All the features are considered by the service provider and in case of positive confirmation, the client is given a technical assignment with an invoice, where the service provider provides the client with the commitment value of development works. The cost and duration of extra features development are presented in the form of a technical assignment, conducted as a separate contract addendum to the current agreement signed between the parties.
  • The client has a right to request for critical support and assistance 24/7 using the hotline phone number of the service provider in case if his hardware or TaxiAdmin software faced some malfunction issue that prevents the company from operation for more than 5 minutes. The service provider is obliged to solve the mentioned issues as soon as possible.

    PAYMENT AND DELIVERY POLICY

    The total services delivery period takes up to 7 (seven) working days, starting from connection payment confirmation. The customization of booking applications for Android and Apple iOS takes up to 3 and 14 days respectively, starting from connection payment confirmation.

    The monthly payment is done by the client every month within 5 (five) days from the moment of getting the invoice from the service provider. The payments are made in USD, by transferring the money to the service provider bank account or by any payment system accepted by the service provider. The invoice is sent to the client via e-mail, from the 1st till 5th day of each month, starting from the first month of operation. The "Cloud" subscribers pay upfront. The "Server" subscribers pay directly for the operational months.

    Payments, conducted by the clients are non-refundable! They cover the services factually provided by the service provider, that is the time and human resources spent on trainings, configuration, server adjustments, registration of the accounts in the database (GSM server configuration, customization of the booking apps and other optional features).

    The "Server" subscribers and "Purchase" customers have a right to apply for division of the connection and purchase fee respectively into 2 payments: one half should be conducted prior to connection and launch date and the second half in a week after the launch date.

    CONFIDENTIALITY

    The service provider agrees that all the information, dealing with the terms of their agreements signed with clients and customers, including the brand name, their location and the financial turnover is confidential and must not be disclosed to the third parties or organizations.

    The service provider will not disclose any confidential information received from the clients to any third parties, including local authorities, enterprises, institutions, organizations of all forms of ownership and subordination, and will not use this information for his own benefit, except for using such information in accordance with the terms and objectives of their agreement. Any information mentioned in the agreements between the two parties is considered to be confidential and falls into a category of "commercial secret".

    MISCELLANEOUS

    All rights are reserved by TaxiAdmin. All the rights for the program complex "TaxiAdmin" fully belong to the developers and are copyright protected according to the State laws of Ukraine.

    The service provider or his representatives disclaim liability for any loss and damage originating from the program complex "TaxiAdmin" or server usage or inability to use the program complex "TaxiAdmin".

    The service provider does not accept the claims of the client for non-compliance of accounting the history of orders, settlements with clients / drivers or employees.

    The source code for the program complex "TaxiAdmin" fully belongs to TaxiAdmin company and is never provided to the clients or customers, even with the retail version of the software.

    The service provider does not guarantee the reprocessing of the program complex "TaxiAdmin" according to the client’s desire. The final decision concerning the reprocessing or implementation of extra features is taken at bilateral negotiations.

    The service provider is not liable for the incorrect program performance (together with its configuration and specification) as a result of inadequate behavior of the hardware and third-party software that are used by the client.

    The clients (including the customers) and the third parties are not allowed to use decompiling or disassembly of the programs and the databases that are included into the program complex "TaxiAdmin". All the changes and updates within the program and its database structure are performed only by program developers - the service provider.

    DISPUTE RESOLUTION PROCEDURES

    In case of any dispute, the parties initiate all the possible measures on peaceful settlement of disputes by means of negotiations.

    In case of impossibility to settle the disputes between the parties relating to the terms of their agreement in a peaceful way, the disputes will be adjudged in the economic court of the city of Mykolaiv (Ukraine) in accordance with Ukrainian legislation.
